Terms of engagement
1. Agreement
These terms apply when you enquire about or engage Adapter Canvas Point (“we”, “us”) for application analytics, integration adapter assessments, message failure reviews, remediation briefs, or related advisory work. By confirming a scope and paying a deposit you accept these terms.
2. Services
We provide professional advisory and assessment services as described in the agreed scope. Deliverables are written briefs, canvases, and readouts. We do not sell software licences, hosted platforms, or payment processing. Findings are advisory; you decide what to implement.
3. Client responsibilities
You provide accurate adapter inventories, arrange agreed access to logs and configurations, and ensure you have authority to share that material. Delays in access may shift timelines without reducing fees already earned for work completed.
4. Fees and payment
Fees are stated in AUD and confirmed in writing. A deposit is ordinarily required before work starts. Invoices are payable within fourteen (14) days unless otherwise agreed. Late amounts may pause remaining work.
5. Intellectual property
You retain ownership of your systems, data, and existing documentation. We retain ownership of our methods, templates, and pre-existing materials. Upon full payment you receive a licence to use the deliverables internally for your business. You may not resell our briefs as a product.
6. Confidentiality
Each party keeps confidential information private and uses it only for the engagement, except where disclosure is required by law or already public.
7. Liability
To the extent permitted by Australian Consumer Law and other applicable law, our aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, or for outcomes of changes you or third parties make after receiving our advice.
8. Consumer guarantees
Nothing in these terms excludes rights you may have under the Australian Consumer Law that cannot be excluded.
9. Governing law
These terms are governed by the laws of Victoria, Australia. Courts of Victoria have non-exclusive jurisdiction.
